Terms of Service

Plain-English summary (not legally binding — the sections below are): MealCircle is practice software for nutrition professionals. You own your data; we own the software. It's free to start, paid plans are billed in advance. It's a tool, not medical advice — clinical decisions stay with the practitioner. If you handle PHI under HIPAA, sign a BAA with us first. Don't abuse the platform, and we'll both act in good faith.
1. Acceptance of terms
MealCircle is a product of TELOVANT (SMC-PRIVATE) LIMITED. By accessing or using the MealCircle platform (the “Service”), you agree to be bound by these Terms of Service (“Terms”) with TELOVANT (SMC-PRIVATE) LIMITED (“TELOVANT”, “MealCircle”, “we”, “us”, or “our”). If you are using MealCircle on behalf of an organization (a clinic, practice, or employer), you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Service.
2. Description of service
MealCircle provides a cloud-based clinical nutrition tracking and analytics platform for nutrition professionals and their patients. The Service includes meal plan creation, patient meal logging, retention analytics, biometric tracking, scheduling, and related features. 3. Account registration and security
You must register for an account to use the Service. You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@mealcircle.co if you suspect unauthorized access.
4. Plans, subscription, and payment
MealCircle offers a free plan and paid subscription plans. Paid plan fees are billed monthly or annually in advance. All fees are non-refundable except as required by applicable law. We reserve the right to change pricing with 30 days’ notice; continued use of a paid plan after a price change constitutes acceptance of the new pricing. Failure to pay may result in downgrade to the free plan or suspension of paid features. Features available on the free plan may change over time with reasonable notice.
5. Acceptable use policy
You agree not to:
- Use the Service for any illegal purpose or in violation of any applicable laws
- Share your account credentials with unauthorized third parties
- Attempt to gain unauthorized access to any part of the Service
- Upload malicious code, viruses, or any harmful content
- Use the Service to store, transmit, or process data on behalf of individuals who have not consented
- Reverse-engineer, decompile, or otherwise attempt to extract source code from the Service
- Resell or sublicense access to the Service without written permission from MealCircle
6. Healthcare disclaimer
MealCircle is a software tool to assist nutrition professionals in managing their practice. It is not a medical device and does not provide medical advice, diagnosis, or treatment. Practitioners using MealCircle remain solely responsible for their own clinical decisions and patient care.
Nothing in the Service constitutes a patient-practitioner relationship between MealCircle and any end user.
7. PHI and HIPAA obligations
MealCircle is not itself a Covered Entity under HIPAA. Practitioners who are Covered Entities may enter into a Business Associate Agreement (BAA) with MealCircle, available on paid plans. Under that BAA, MealCircle acts as a Business Associate and agrees to handle Protected Health Information (PHI) in accordance with HIPAA requirements.
Practitioners remain solely responsible for their own HIPAA compliance obligations, including obtaining appropriate patient authorizations, maintaining their own HIPAA policies, and ensuring their use of MealCircle is consistent with applicable law.
Practitioners who are Covered Entities agree not to upload or process PHI through MealCircle without first executing a BAA with MealCircle.
8. Intellectual property
MealCircle and its licensors own all intellectual property rights in the Service. You retain ownership of your data uploaded to the Service. By uploading content, you grant MealCircle a limited license to store, process, and display that content solely to provide the Service to you.
The MealCircle name, logo, and trademarks may not be used without prior written permission.
9. Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
10. Third-party services
The Service may integrate with or link to third-party services (e.g., authentication providers, payment processors). MealCircle is not responsible for the practices of third-party services. Your use of any third-party service is subject to that service’s own terms and privacy policies. A list of the subprocessors we use to operate the Service appears in our Privacy Policy.
11. Beta and preview features
We may make features available labeled as beta, preview, or early access. These are provided as-is, may change or be withdrawn at any time, and may be subject to additional terms presented at enablement. Do not rely on beta features for critical clinical workflows.
12. Disclaimers and limitation of liability
The Service is provided “as is” and “as available” without warranties of any kind, express or implied. MealCircle does not warrant that the Service will be uninterrupted, error-free, or meet your specific requirements.
To the maximum extent permitted by applicable law, MealCircle’s total liability for any claim arising from these Terms or your use of the Service is limited to the fees paid by you in the 12 months preceding the claim. In no event will MealCircle be liable for indirect, incidental, special, consequential, or punitive damages.
13. Indemnification
You agree to indemnify, defend, and hold harmless MealCircle and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
14. Termination and data export
Either party may terminate the Service relationship at any time. MealCircle may suspend or terminate your account immediately for material violations of these Terms. Upon termination, your right to use the Service ceases. We will make your data available for export for 30 days following termination, after which it will be deleted in accordance with the retention terms in our Privacy Policy. Practitioners are responsible for exporting and retaining their own clinical records as required by their applicable professional record-keeping obligations before deletion occurs.
15. Governing law and disputes
These Terms are governed by the laws of the Islamic Republic of Pakistan, the jurisdiction in which TELOVANT (SMC-PRIVATE) LIMITED is incorporated, without regard to conflict of law provisions. The parties will first attempt to resolve any dispute informally and in good faith; failing that, disputes shall be subject to the exclusive jurisdiction of the courts of Pakistan.
Nothing in this section limits obligations that apply under the law of the place where you practice — including HIPAA for US practitioners — or either party's obligations under an executed BAA.
16. Changes to terms
We may modify these Terms at any time. We will notify you of material changes at least 30 days in advance via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
